Terms of Service

Please read these Terms carefully before using Cognizy services. These terms govern your use of our website, products, and services and form a binding legal agreement.
1. Acceptance of Terms
By accessing cognizy.online, purchasing our services, or using any Cognizy software product, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our services.
These Terms constitute a legally binding agreement between you ("Client", "User") and Cognizy Tech Studio ("Cognizy", "we", "us"), a technology company operating from Kolkata, West Bengal, India.
2. Services Provided
Cognizy Tech Studio provides:
• Custom Software Development: Web applications, automation tools, and management systems tailored to your business requirements
• SaaS Products: ApplyPilot, EduWeb, MediDesk, RestoBOT, PropTech — subscription-based software products
• Consulting & Support: Technical consultation, implementation, training, and ongoing support services
Specific deliverables, timelines, and pricing for each project are defined in individual Service Agreements or Statements of Work (SoW) signed between the parties.
3. Payment Terms
Custom Development Projects:
• 50% advance payment required before project commencement
• Remaining 50% due upon delivery and acceptance
• EMI options available upon request (subject to approval)
SaaS Subscriptions:
• Billed monthly or annually as selected at the time of purchase
• Auto-renewal unless cancelled at least 7 days before the renewal date
• All prices are in INR (Indian Rupees) and exclusive of applicable GST
• GST (currently 18%) will be charged on all invoices as applicable under Indian tax law
Late Payments:
• Overdue invoices attract 2% per month interest
• Services may be suspended after 15 days of non-payment without notice
4. Client Responsibilities
As a client, you agree to:
• Provide accurate and complete information required to deliver the service
• Supply required content, assets, logos, and approvals in a timely manner
• Designate a point of contact authorized to provide approvals and decisions
• Not use our software for any illegal, harmful, or fraudulent activity
• Not attempt to reverse-engineer, copy, or redistribute our proprietary software
• Keep login credentials confidential and notify us immediately of unauthorized access
5. Intellectual Property
Cognizy IP: All proprietary frameworks, tools, libraries, and platform code developed by Cognizy remain the intellectual property of Cognizy Tech Studio. This includes but is not limited to our SaaS platforms (ApplyPilot, MediDesk, etc.).
Client IP: Upon full payment, Cognizy grants the client a license to use the custom-built software. Source code ownership transfers to the client only if explicitly agreed in writing in the service agreement.
Third-Party Libraries: Open-source components used in development are subject to their respective licenses (MIT, Apache, etc.).
6. Limitation of Liability
To the maximum extent permitted by Indian law:
• Cognizy's total liability for any claim arising from our services shall not exceed the total amount paid by you in the 3 months preceding the claim
• We are not liable for indirect, incidental, or consequential damages including lost profits, data loss, or business interruption
• We do not guarantee uninterrupted availability of SaaS services (target uptime: 99.5%)
• Cognizy is not responsible for third-party service failures (hosting, API providers, payment gateways)
We do not limit liability for death, personal injury, or fraud caused by our negligence.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of service delivery. This includes business plans, customer data, pricing, technical specifications, and any information marked as confidential.
Confidentiality obligations survive the termination of services for a period of 2 years.
8. Termination
By Client:
You may terminate services by providing 30 days written notice. SaaS subscriptions can be cancelled from your account dashboard or by emailing us.
By Cognizy:
We may terminate or suspend services with 7 days notice if: (a) payment obligations are not met; (b) the client violates these Terms; (c) the client engages in illegal or harmful activities.
Upon termination, outstanding invoices become immediately due and payable.
9. Dispute Resolution
Negotiation First: Any dispute shall first be attempted to be resolved through good-faith negotiation within 30 days.
Arbitration: If negotiation fails, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted in English in Kolkata, West Bengal.
Jurisdiction: These Terms are governed by the laws of India. The courts of competent jurisdiction in Kolkata, West Bengal shall have exclusive jurisdiction for any matters not resolved through arbitration.
10. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide 14 days advance notice of material changes via email. Continued use of our services after such notice constitutes acceptance.
